Terms and Conditions
I am applying for membership in the Canon Professional Services Program ("CPS") and hereby agree to the following terms and conditions:
1. Membership is available only for legal residents of Canada who are at least 18 years of age at the time of enrollment and at this time membership benefits, loan availability, and repair service are available in Canada only.
2. All applications are subject to Canon Canada's approval, in its sole discretion. You are not eligible for membership if you have been previously expelled from any other version of our CPS program; and if expelled from this program for cause, you will not be eligible for future membership.
3. I hereby represent and warrant that all information submitted with my application is true and accurate and that I meet all eligibility requirements.
4. If accepted into the CPS program by Canon, I will receive the benefits afforded to me under the appropriate membership level that I have applied for, Creator Essential, Gold, Platinum or Cinema. If I desire to upgrade my Program membership level, I understand that I will have to reapply for such upgraded level and pay the full amount of the upgraded membership and I will not be entitled to any credit or refund for my current membership level.
5. The term of enrollment is one (1) year.
6. I will keep my profile information up to date, including my mailing address and email address so that I may receive any and all notices, if any, that Canon may need to send me under the CPS program.
7. Canon may change or otherwise modify the Program at any time by posting updated Terms and Conditions on the CPS website or otherwise by notice to you. All members must have internet access and the ability to navigate the Canon CPS website throughout the term of enrollment. Should Canon terminate the program prior to the expiration of the membership period, you may be entitled to a refund of the remaining portion of the membership fee, prorated as the remaining full months of unused membership, less benefits received.
8. Failure to adhere to the terms and conditions of membership may result in my expulsion from the Program by Canon and I will not be entitled to any refund or any other legal or equitable remedy.
9. All product loans and rentals made under the Program are subject to the following:
a. Loan equipment, rentals and repair service will be available only to members in good standing, regardless of membership level. No equipment will be available to any member with outstanding invoice amounts due, or to any member who has not yet timely returned Canon equipment on loan under this Program or any other.
b. I understand that all equipment loan and/or rental requests will be reviewed by Canon and Canon will determine, in its sole discretion, and in accordance with my membership level and the associated benefits, whether a loan will be made and, if so, the priority and scheduling of loans. Equipment availability is limited and is available on a first come-first serve basis within membership level.
c. The equipment is loaned/rented to me is solely for my use in accordance with these terms and conditions. Any equipment loaned to me may not be transferred or otherwise loaned by me to a third party.
d. Canon will pay for transporting the equipment to the address listed in my membership profile or as otherwise directed by me in my loan request. Canon will also provide a prepaid shipping account number (Platinum and Cinema Plan Only) via a downloadable shipping label for transporting the equipment back to Canon upon completion of the loan period, or at such other time as Canon should request its return.
e. I acknowledge that Canon reserves the right to recall any item of equipment, for any reason, upon prior written notice sent to my email contact address.
f. I shall immediately pay a security deposit ("Security Deposit") to Canon equal to the full amount of the equipment loan or rental charges, plus an additional amount of not less than fifty percent (50%) of any equipment value, as set forth in Canon's dealer most current price list, the entirety as security to Canon for my compliance with of all these Terms and Conditions. I understand and agree that the Security Deposit shall be used to deduct any amounts owing by me to Canon under these Terms and Conditions. I understand and agree that Canon shall deduct all equipment loan or rental charges from the Security Deposit. I understand and agree that subject to subsections g, h. and j below, the balance of the Security Deposit shall be returned by Canon to me, less all equipment loan or rental charges. I understand and give my consent to Canon to charge the full amount of said Security Deposit on my credit card.
g. In the event I fail to return the equipment when due, Canon reserves the right to invoice me for the current rental rate of any unreturned equipment and I will pay such invoice within thirty (30) days’ of receipt. Extended failure to return may result in charges up to the current retail value of the equipment. In this case, I agree that Canon shall apply such invoice and charges against the Security Deposit. Failure to return equipment and/or pay such invoice may also result in the suspension or termination of my membership privileges in the CPS program, in Canon's sole discretion.
h. I will return the equipment and all related accessories to the address as directed by Canon, in good condition, reasonable wear and tear expected. I agree to use my best effort to protect the equipment against shock, impact, water damage, sand, dirt and other harmful substances which may result in damage the equipment. I acknowledge and agree that I bear all risk of loss or damage to the equipment while in my possession or in transit and until its receipt by Canon, including any damage caused by improper packaging of the equipment for its return to Canon. I agree to reimburse Canon for the cost of any repairs to, or replacement of, the equipment necessitated due to mishandling, carelessness or neglect while on loan, including any damage caused by improper packaging of the equipment for its return to Canon.
i.   I agree to immediately reimburse Canon for the full value of the equipment as set forth in Canon’s dealer most current price list due to any loss, theft, or disappearance of the equipment (“Loss”) . I agree that Canon may deduct said full value of the equipment from the Security Deposit. I shall still be liable to pay Canon for any balance amount if the Security Deposit is insufficient to cover the Loss, in which case, I agree and give my consent to Canon to charge my credit card for said balance amount. I will also promptly notify Canon (and forward Canon a copy of any report submitted to the pertinent police department) in the event of loss, theft or disappearance of the equipment.
j. I agree to use the equipment in accordance with published Canon instructions. Under no circumstances will I perform any maintenance or repair on the equipment. If maintenance or repair on the equipment is necessary, I will contact Canon's Professional Services Department for further instructions.
k. I acknowledge and agree that the equipment is loaned to me "AS IS". THERE ARE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, RELATING TO THE USE OR PERFORMANCE OF THE EQUIPMENT, AND ANY AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CANON SHALL NOT BE LIABLE FOR ANY DAMAGES INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFIT OR OTHER DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THIS AGREEEMENT OR THE USE OR INABILITY TO USE THE EQUIPMENT.
10. I acknowledge that Canon makes no warranties or representations of any kind with respect to the prospects for any business relationship between us as a result of this agreement. Nothing in this agreement shall be deemed to create a partnership, joint venture or relationship of employment between us.
11. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF CANADA. This agreement shall not be amended or otherwise modified except in a writing authorized by Canon. In the event that any one or more of the provisions of the agreement is unenforceable, the enforceability of the remaining provisions shall be unimpaired.
12. This agreement and the membership benefits afforded hereunder may not be assigned or otherwise transferred by me and any attempted assignment or transfer shall be void and may result in termination of membership, at Canon's sole discretion.
